Se je zgodilo. Daimler je prodal svojo ameriško vejo Chrysler podjetju Cerberus. Prodali so 80,1% delež, ostalo bodo obdržali. Delničarjem bodo predlagali tudi spremembo imena.
The deal is done. Cerberus has bought the Chrysler Group for $7.4 billion ending what seems to be only Act One of the drama that has enveloped the Chrysler Group. Today's news that Cerberus has bought DCX's troubled Chrysler Group has put the UAW and CAW into bunker mode, employees on edge and upset what seemed to be the predetermined outcome; a Magna takeover.
Cerberus paid $7.4 billion for 80.1 percent of Chrysler, Daimler will continue to own the remaining 19.9 percent. The new company will be called Chrysler Holding LLC. Daimler will transfer the unit to the new holding company free of debt, a move which will cost Daimler more than $1.6 billion but the new Chrysler holding company will still be responsible for its pension and health care obligations, Automotive News reported.
Cerberus, perhaps best known for rapid growth in recent years, is a hedge firm that specializes in acquiring distressed companies and instituting drastic measures to make them profitable again. The fund led the group which acquired a 51 percent stake in GMAC from General Motors last year. Its experience in running an automotive company such as Chrysler is nonexistent although they have hired Wolfgang Bernhard, Chrysler's president between 2001-2004.
More importantly, it was one of the lead financiers of Delphi's bankruptcy and demanded another round of steep concessions from the UAW which has put Delphi and the autoworkers union on the warpath towards a strike. The UAW/CAW have never been supportive of a hedge fund bid fearing the buyer chop and shop the venerable automaker and were supportive of the Magna bid, with the UAW going so far as to prepare a framework for concessions, Automotive News reported recently.
In an apparent about face, UAW President Ron Gettlefinger, a DaimlerChrysler board member, announced UAW support for the deal, calling it the best of the options available, Automotive News reported. The CAW said they would be briefed on the plan Tuesday, but were still worried about the deal.
USAToday reports Cerberus was the target of an investigation into political corruption by former U.S. Attorney Carol Lam, who along with 7 other US Attorneys was fired late last year. Political motivations are believed to have been responsible for her firing. She was investing political contributions made to Congressman Jerry Lewis, who was believed to have offered defense contracts in return for donations. MCI, a Cerberus owned company, received a major contract (worth more than $1 billion) in the Defense Appropriations budget even though the Pentagon had condemned MCI's performance because the project was years late, and severely over budget. The insertion of the contract came after Cerberus made $110,000 contribution to the re-election fund of the chairman of the Defense Appropriations subcommittee, Jerry Lewis (R-CA).

Ja, pa smo končno tam. Če gledaš strogo kapitalistično, so koncerni res najboljša rešitev. Vendar kaj, ko se avtomobilski trg nenehno spreminja in zahteva preveč sprecifike za posamezni kontinent ali celino. Obema veliko sreče, sam pa sem zadovoljen. Daimler bo spet sam in tako lahko spet kupimo mečko.

Se mi je zdelo, da ta "zakonska zveza" ne bo dolgo zdržala. Se spomnim, ko so v začetku devetdesetih let prišli v Slovenijo prvi avtomobili chrysler voyager, so jih kar hvalili, potem pa je prišel ven nov model, ki so ga začeli delati v Gradcu (najbrž pri Daimler Puch), pa so ga skritizirali, da je polno napak in zelo kvarljiv. Tako da je res bolje, da so šli narazen.

Pomoje je Mercu šlo bolj v nos, da je Chrysler vedno bolj v rdeče številke lezel.

Ko je prišel ven 300C je bil optimizem na višku, nato pa so začeli padati Caliber, Compass in Sebring, brezvezni modeli s pretirano ceneno notranjostjo... Kot da nemški del koncerna ni imel nič zraven.

Ja, konzervativen zunanji dizajn (80's style), obupno plastične notranjosti, pa še visoke cene zraven. In to velja za vse tri ameriške znamke (Chrysler, Dodge in Jeep). Temu je treba še prišteti neustrezen proizvodni program in visoke stroške zdravstvenega zavarovanja za delavce, pa dobimo čisto izgubo.
Saj, nekateri avti so od zunaj še užitni (Dodga Nitro in Charger, Jeep Compass) a notranjosti so popoln polom.

Daimler se je sicer rešil mlinskega kamna okoli vratu, a za kakšno ceno - kupcu je celo plačal, da se reši ameriškega zgubarja. Kapitalistični raj - zato, da nekaj kupiš, ti celo dajo denar in to več, kot te je stal nakup. Več o tem, da je

If you skipped German in high school, be glad. It's a tough language to translate.
For example, when Daimler-Benz mounted a $36 billion takeover of Chrysler Corp. in 1998, the German carmaker called it "a merger of equals."
In May, when DaimlerChrysler announced plans to rid itself of Chrysler, the Teutonic term of art was "a $7.4 billion sale."
But a look at the deal shows Cerberus will put most of its money right into Chrysler. Daimler's check is only $1.3 billion -- plus it will loan Chrysler money and eat current losses. Bottom line: Daimler actually pays out $673 million in the "sale."
Daimler CEO Dieter Zetsche denied he was paying Cerberus to take Chrysler -- please.
"Cerberus invested $7.4 billion into this transaction, which obviously is not any form of being paid," he told reporters.
So it's nice to hear Chrysler's new owner admit the obvious.
"In essence, they paid us to take the company," Cerberus chief Lenard B. Tessler told his shareholders recently, according to the Wall Street Journal online. "I'm not talking out of school."
Whether school is in or out, class is in session, so achtung! There are some valuable lessons to be learned here about just how far the auto business has fallen, and just how far the players will go to keep their egos -- as well as their wallets -- intact.
It was hard enough for Zetsche and his board to face the reality that Daimler paid $36 billion for Chrysler while Cerberus was putting up just $7.4 billion. Even if you add the $11 billion in profit Zetsche said Chrysler provided Daimler through the years, that's still a $17.6 billion loss.
The fact that the cadres of biz whizzes behind the deal could have done better just putting the whole pile into savings bonds is, of course, embarrassing to any business executive. So is owning up to the fact that Daimler had so misjudged Chrysler's estimated $18 billion in mounting future pension and health care liabilities that just getting out from under them was payment enough.
But admitting that they weren't going to get any hard cash when the sale closes in July -- just 19.9 percent of the new Chrysler --would have been humiliating.
So Dieter slapped on a smile, put up a dowry, then marched his ugly minivan drivin' red-headed stepdaughter down the aisle to be some other guy's problem -- in sickness and in health care.
And ended up smiling all the way to the bank.
From biergartens in the Fatherland to retirement homes in Tucson, holders of DaimlerChrysler stock still are giddily toasting Daimler for dumping Chrysler like a rusty K car.
Shareholders of the ominously named DCX saw a $27 jump in the stock since the Germans parted-out Chrysler to Cerberus. Chrysler was such a Hemi-powered drain that the stock market says Daimler is worth $27.7 billion more just to be rid of it.
Which brings us to Cerberus.
Did the private-equity firm acquire a pig in the poke -- or worse, just the parts of the pig that ended up in a dubious sausage that's headed from bad to wurst?
On one hand, it helps Cerberus to have a good-sized price tag on the deal. It gives the firm the cachet of being an obvious big-time player as opposed to, say, its purchase of the Formica Corp.
The pumped-up price tag also signaled to employees, dealers and union leaders that Cerberus paid serious money in a serious bid to fix Chrysler.
Privately, though, Cerberus is likely to point out to suppliers and unions that the firm only towed this junker off Daimler's lawn because they could use the German's own dough. And without some help on health care costs, pensions and other expenses that can put Chrysler back in the black, there are likely to be few -- if any -- buyers the next time around.
So maybe this deal really is win-win. Daimler gets out from under Chrysler and its stock soars. Cerberus gets to pick up a world-famous carmaker at a bargain and gets leverage to cut costs.
What is certain is that it's only fitting that Daimler had to throw in its own cash to make the sale.
After all, Chrysler is the company that invented the rebate.

Nitrota sem si ogledal v CityParku zadnjič in mi ni nič kaj všeč. Na zunaj je pa kar lepo sestavljen.

Skromno predlagam "
Daicedes" kot kompromis, ki zveni eksotično, hkrati pa ima duh po korejski zanesljivosti :P

With the sale of Chrysler nearly complete, the folks in Stuttgart are looking for a new name to represent the automaker formerly known as Daimler Chrysler. Company executives would like to call the company Daimler AG, but others want the company name to once again include both 'Daimler' and 'Benz' to reflect both of the company's original founders, Gottlieb Daimler and Carl Benz. CEO Dieter Zetsche has instead proposed changing the name of all manufacturing plants from Daimler to Mercedes as a compromise. We'd like to point out that none of luxury cars the company produces is called Daimler anyway, so why hold on to that part of the name? In any case, the final name will be decided at the October 4 shareholder meeting in Berlin.

Pa še nekaj o Chrysler-ju. Kot je nekje ChgTom napisal, je po objavi novice o razdružitvi
prodaja Chrysler-jev precej padla.
Hkrati ima še stare "motnje" za uredit - npr tovarno motorjev Tritec v Braziliji, kjer so delali motorje za prvo generacijo Mini-ja in nekaj C. modelov, sedaj pa tudi za lastne modele Chrrysler že uporablja nov globalen motor, ki so ga razvili z Micko in Hyundai-jem. Tovarno je C. sedaj v celoti prevzel in jo bo verjetno prodal ruskemu AutoVaz-u ali kitajskemu Lifan-u.

Chrysler has taken full ownership of the Tritec joint-venture engine plant it operated in Brazil with BMW. The 1.4L and 1.6L engines were used in the first generation of the BMW-built MINI and overseas-market versions of the Dodge Neon and Chrysler PT Cruiser. BMW replaced the unloved engines in the new MINI with a unit developed with Peugeot, while Chrysler is now using its new global four-cylinder engines developed and shared with Mitsubishi and Hyundai.
Chrysler now has to decide what to do with the plant. It will probably be sold off, with both Russia's AutoVaz and China's Lifan reportedly interested.
